By accessing or using the Nemodatech Real Estate Solutions Limited (“Nemodatech”, “we”, “our”, “us”) platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

• You must be 18+ and have capacity to contract.
• Keep your credentials secure; you’re responsible for activity on your account.
• We may require KYC (e.g., national ID, agent license). Missing KYC may limit features or lead to suspension.

Nemodatech is a technology platform connecting seekers with owners/agents/service providers. We do not:

• own, buy, sell, let, or manage properties;
• act as a real-estate broker, agent, or fiduciary;
• guarantee quality, safety, legality, or title of any property;
• become a party to contracts between users.

Users are responsible for due diligence (inspections, title checks) and legal compliance.

• Accuracy: Listings must be lawful, accurate, and kept up to date.
• Status: Promptly update availability (For Sale, For Rent, Booked, Taken, Sold).
• Media rights: You warrant rights to uploaded media and grant Nemodatech a license to host/display for operating and marketing the Service.
• Prohibited: No fraudulent, infringing, defamatory, obscene, hateful, or illegal content.

• Reviews must be genuine and based on real experiences.
• We may remove content that violates these Terms or our policies.
• By posting, you grant us a license to display your reviews/comments across the Service.

• Agents may be required to complete verification (IDs/licenses and portal-issued code).
• Plan tiers (Basic, Premium, Premium+) differ in features/visibility/badges and may change.
• We may suspend/downgrade for violations, misleading info, or legal issues.

• Paid services may include Book-a-Visit, plan subscriptions, and promotions (shown before checkout).
• Payments are processed by third parties (e.g., Flutterwave, mobile-money providers); their terms apply.
• You are responsible for taxes, mobile-money fees, and network charges.
• Except as per our Refund Policy, fees are non-refundable; refunds (if any) go to the original method when possible.

Bookings schedule an appointment between you and an agent/owner; Nemodatech is not a party to that appointment.

Safety: Prefer public/safe locations and inform a trusted contact. We are not responsible for incidents during viewings.

• We may send transactional/service communications (email, SMS, WhatsApp, in-app, push). Non-essential can be managed in settings.
• Calls/video calls may be routed through third-party providers and may incur data/network charges.

Do not:

• violate law or third-party rights;
• scrape/harvest or misuse data;
• bypass security or access non-public areas;
• upload malware or interfere with the Service;
• impersonate others or misrepresent affiliations;
• post counterfeit/fraudulent listings;
• use the Service for money laundering, fraud, or unlawful purposes.

The Service (text, graphics, logos, icons, UI, software) is owned by Nemodatech or its licensors and protected by IP laws. Except for your own content, you may not copy, modify, distribute, reverse engineer, or create derivative works without written consent.

• We aim to comply with applicable laws, including Uganda’s Data Protection and Privacy Act, 2019.

The Service may link/integrate third-party services (payments, mapping, messaging, analytics). We are not responsible for their content, terms, or practices.

• We strive for availability but do not guarantee uptime; features may be suspended/modified/discontinued.
• Beta/experimental features may be unstable or change without notice.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness, title, non-infringement, availability, accuracy, or reliability. Use at your own risk.

To the maximum extent permitted by law, Nemodatech and its officers/employees/affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages or loss of profits, data, goodwill, or other intangible losses. Our aggregate liability will not exceed the greater of: (a) fees paid in the last 3 months; or (b) UGX 500,000.

You agree to indemnify and hold harmless Nemodatech and affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use; (b) your content/listings; (c) your breach of these Terms or law; or (d) your dealings with other users.

We may suspend or terminate access at any time, with or without notice, for violations, legal, or security reasons. You may stop using the Service at any time. Clauses intended to survive termination will survive.

• Good-faith first: Contact us to try to resolve concerns.
• Governing law: Republic of Uganda.
• Jurisdiction: Courts in Kampala, Uganda (unless applicable law requires otherwise).
• Optional ADR: Parties may agree to mediation or arbitration in Uganda.

If you downloaded the app from Apple App Store or Google Play, you also agree to their terms and acknowledge they are not responsible for support or app claims.

We may update these Terms. For material changes, we will post updates and, where required, notify you (e.g., in-app notice). Continued use after effective date constitutes acceptance.
